Welcome to Smart Rack Cards™.
These Terms of Use ("Terms") govern access to and use of the SmartRackCards.com website and the Smart Rack Cards™ platform, including Digital Tourist Kiosks™, the Digital Visitor Center Network™, Smart Rack Cards™, Destination Deals™, Action Taps™, Destination Discovery™ content, QR codes and decals, business listings, sponsorship programs, subscription services, and other related products and services collectively referred to as the "Platform."
The Platform is operated by ESi Digital Marketing Inc., a British Columbia company, operating the Smart Rack Cards™ service. In these Terms, "Smart Rack Cards," "we," "us," and "our" refer to ESi Digital Marketing Inc. and the Smart Rack Cards™ service.
By accessing the Platform, creating or claiming a listing, purchasing a subscription or sponsorship, submitting content, displaying a Smart Rack Cards™ QR decal, or otherwise using our services, you agree to these Terms.
If you do not agree with these Terms, you should not use the Platform.
For purposes of these Terms:
"Business User" means a business, organization, tourism operator, attraction, accommodation provider, restaurant, retailer, professional, sponsor, Visitor Centre, Chamber of Commerce, tourism organization, or other commercial or community organization that claims, manages, purchases, sponsors, or submits content for a listing or service.
"Visitor User" means a traveler, resident, website visitor, or other individual who uses the Platform to discover destinations, businesses, attractions, offers, or tourism information.
"Listing" means any business, organization, attraction, destination, Visitor Centre, Chamber of Commerce, or community entry appearing on the Platform, whether free, paid, sponsored, claimed, or unclaimed.
"Smart Rack Card™" means an interactive digital business or organization listing that may contain images, descriptions, contact information, Action Taps™, Destination Deals™, links, maps, and other information.
"Digital Tourist Kiosk™" means a digital destination or community information page through which visitors can access local tourism information and Smart Rack Cards™.
"Action Tap™" means an interactive link or function that may enable a visitor to call, email, obtain directions, visit a website, make a reservation, purchase a product or service, or perform another action.
"Destination Deal™" means an offer, promotion, discount, special package, or other incentive offered by a participating Business User.
"User Content" means text, photographs, images, videos, logos, trademarks, prices, promotions, descriptions, links, documents, or other materials submitted or authorized by a Business User.
"Sponsor" means a business or organization that financially supports a Digital Tourist Kiosk™, community program, Destination Discovery™, Smart Rack Card™, QR decal program, or related service.
You must have the legal capacity to enter into these Terms.
If you use the Platform on behalf of a business, corporation, partnership, nonprofit organization, Visitor Centre, Chamber of Commerce, municipality, tourism organization, or other entity, you represent that you have authority to accept these Terms on behalf of that entity.
The entity you represent will be responsible for your use of the Platform and for compliance with these Terms.
Smart Rack Cards™ provides digital tourism information, advertising, directory, promotional, publishing, and visitor-engagement technology.
We are not the owner or operator of the businesses appearing on the Platform and, unless expressly stated otherwise, are not an agent, representative, franchisee, partner, employee, or joint venturer of any listed business, Visitor Centre, Chamber of Commerce, tourism organization, municipality, sponsor, or other organization.
The appearance of a business, organization, community, Visitor Centre, Chamber of Commerce, attraction, or destination on the Platform does not by itself imply endorsement, sponsorship, partnership, approval, or affiliation.
Smart Rack Cards™ is not normally a party to transactions between visitors and listed businesses.
Certain Platform features may require an account.
You agree to provide accurate and current account information and to keep that information updated.
You are responsible for protecting your username, password, and other account credentials and for activities occurring through your account.
You must notify Smart Rack Cards promptly if you believe your account has been accessed without authorization.
We may require verification that a person claiming or modifying a Listing is authorized to represent that business or organization.
Smart Rack Cards™ may create Listings for communities, Visitor Centres, Chambers of Commerce, attractions, businesses, organizations, and other tourism-related entities using factual information available from public sources.
A preloaded or unclaimed Listing does not mean the listed organization has purchased, approved, endorsed, or entered into a relationship with Smart Rack Cards™.
We may display factual information such as a business name, category, general location, website link, telephone number, or other publicly available information.
We make reasonable efforts to keep such information useful but cannot guarantee that publicly sourced information is complete or current.
An authorized representative may request that inaccurate information be corrected, updated, claimed, or, where appropriate, removed by contacting us.
Free Listings may contain fewer features or receive different placement or exposure than paid Listings.
Smart Rack Cards™ may modify the features included with free Listings at any time.
Smart Rack Cards™ may offer different subscription levels with different features, visibility, Action Taps™, Destination Deals™, images, placement, analytics, or other benefits.
Current pricing and plan features are displayed on our pricing page or during checkout.
Pricing may sometimes be advertised as a weekly equivalent, such as a stated amount "per week." A weekly-equivalent price does not necessarily mean that the account will be charged every week.
The checkout page will state the actual amount to be charged, the billing interval, currency, applicable taxes, subscription term, and renewal terms before payment is completed.
Where there is a difference between a general promotional price and the amount clearly displayed and accepted at checkout, the checkout information applicable to that transaction will govern, subject to applicable law.
Prices may change for future purchases or future renewal periods. We will not retroactively increase fees already paid for an existing prepaid subscription period.
Applicable taxes may be added to advertised prices.
Where a subscription is identified at checkout as automatically renewing, the subscription will continue for successive billing periods until cancelled.
The renewal will generally be charged using the payment method associated with the account.
A Business User may cancel automatic renewal before the next renewal date in accordance with the cancellation instructions provided through the Platform or by contacting Smart Rack Cards™.
For subscriptions that automatically renew for a term longer than 60 days, Smart Rack Cards™ will provide advance renewal notice where required by applicable law. When required, the notice will identify the renewal date, explain how to cancel, and state that the subscription will renew if it is not cancelled.
Cancellation of automatic renewal does not normally terminate service that has already been paid for. Unless otherwise requested or required by law, the Listing may remain active until the end of the current paid period.
You may cancel future renewal of a paid subscription in accordance with the cancellation method provided on the Platform or by contacting us at admin@smartrackcards.com.
Except where required by applicable law, specifically stated at checkout, or expressly agreed to by Smart Rack Cards™ in writing, fees already paid are non-refundable.
If a subscription is cancelled before its next renewal date, no further renewal charge will be made, although the existing paid service may continue through the end of the paid subscription period.
If applicable law gives a customer a cancellation or refund right that cannot legally be waived, these Terms do not limit that right.
Smart Rack Cards™ may issue credits or refunds at its discretion in exceptional circumstances. Doing so in one situation does not create an obligation to provide the same remedy in another situation.
We may offer free trials, complimentary Listings, promotional pricing, introductory plans, sponsored Listings, or other special programs.
Terms applicable to a particular promotion may be provided separately.
We may modify or discontinue a free service or promotion at any time unless a separate written agreement states otherwise.
Where a Sponsor pays all or part of the cost associated with a community, kiosk, business Listing, or other service, the sponsorship arrangement does not give the Sponsor ownership of participating businesses or their content.
A Sponsor may receive recognition or promotional benefits as separately described.
Sponsorships, advertising campaigns, community programs, newspaper partnerships, Visitor Centre programs, Chamber of Commerce programs, Destination Discovery™ sponsorships, or similar arrangements may be governed by a separate proposal, order form, insertion order, invoice, sponsorship agreement, or written contract.
If a separate written agreement directly conflicts with these Terms regarding a specific purchased service, the separate agreement will control only to the extent of that conflict.
Unless expressly stated in writing, sponsorship does not create an exclusive relationship.
Business Users retain ownership of the original User Content they submit to Smart Rack Cards™, subject to any rights belonging to third parties.
By submitting or authorizing User Content, you grant ESi Digital Marketing Inc. a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, resize, format, adapt, publish, display, distribute, and otherwise use that content as reasonably necessary to:
(a) create and operate your Smart Rack Card™ or Listing;
(b) display your Listing through Digital Tourist Kiosks™ and related Smart Rack Cards™ services;
(c) promote or distribute your Listing through websites, social media, newsletters, QR codes, destination promotions, and related marketing channels; and
(d) administer, maintain, improve, and promote the Smart Rack Cards™ Platform.
This licence does not transfer ownership of your trademarks, photographs, logos, or other intellectual property to Smart Rack Cards™.
The licence ends when the relevant content is removed from active use, except that copies may remain temporarily in backups, archives, cached pages, transaction records, or materials reasonably required for legal, accounting, security, or recordkeeping purposes.
A Business User represents and warrants that:
(a) information supplied for its Listing is substantially accurate and not intentionally misleading;
(b) it has the right to submit or authorize the use of its User Content;
(c) use of its logos, photographs, trademarks, videos, descriptions, and other materials by Smart Rack Cards™ as permitted by these Terms will not knowingly infringe the rights of another person;
(d) its advertisements, promotions, prices, claims, Destination Deals™, and offers comply with applicable law; and
(e) it will reasonably maintain current information concerning matters such as business contact details, operating status, website addresses, and offers.
Business Users are responsible for reviewing their Listings and notifying us of material errors.
Smart Rack Cards™ may offer a Concierge or similar service under which we assist a Business User in creating or completing a Smart Rack Card™.
When a Business User asks or authorizes us to use information from its website, social media account, supplied materials, or other identified source, that Business User represents that it has sufficient rights or authority to permit that use.
Smart Rack Cards™ may summarize, resize, rewrite, format, or reorganize authorized material for use within a Listing.
We may use automated and artificial-intelligence tools to assist with this work.
The Business User remains responsible for reviewing the resulting Listing and requesting corrections to material inaccuracies.
Participating businesses may publish Destination Deals™ through their Smart Rack Cards™.
The Business User offering a Destination Deal™ is solely responsible for the offer, including its description, eligibility rules, price, discount, availability, expiration date, limitations, taxes, inventory, fulfilment, customer service, refunds, and compliance with applicable advertising and consumer-protection laws.
Destination Deals™ must not be false, misleading, deceptive, unlawful, or structured in a way that intentionally conceals material restrictions.
Unless expressly stated otherwise, Smart Rack Cards™ does not sell, redeem, guarantee, fund, reimburse, or fulfil Destination Deals™.
A transaction resulting from a Destination Deal™ is between the visitor and the participating business.
Smart Rack Cards™ may remove or suspend a Destination Deal™ that we reasonably believe is inaccurate, expired, misleading, unlawful, abusive, or harmful to users or the Platform.
Action Taps™ may connect visitors with third-party websites, telephone numbers, email addresses, booking systems, maps, payment services, social networks, ordering systems, reservation platforms, or other services.
Smart Rack Cards™ does not control these third-party services.
A visitor who follows an Action Tap™ may become subject to the terms, privacy policies, prices, cancellation rules, and other conditions of the applicable third party.
Smart Rack Cards™ is not responsible for the quality, availability, security, accuracy, products, services, conduct, or policies of third-party businesses or websites.
The inclusion of a link or Action Tap™ does not constitute a guarantee or endorsement.
Smart Rack Cards™ may use artificial intelligence and automated technologies in connection with Destination Discovery™, destination videos, community summaries, fact sheets, descriptions, images, research assistance, translations, content organization, and other Platform features.
AI-generated or AI-assisted content can contain errors, omissions, outdated information, incorrect interpretations, or information commonly described as AI "hallucinations."
Smart Rack Cards™ attempts to produce useful information but does not guarantee the accuracy, completeness, uniqueness, or currentness of AI-generated content.
Visitors should independently verify information that may materially affect travel plans, safety, opening hours, reservations, prices, accessibility, road conditions, medical needs, legal matters, or other important decisions.
AI-generated information is provided for general informational and tourism purposes and should not be relied upon as professional legal, medical, financial, safety, or other professional advice.
Some photographs, illustrations, avatars, voices, videos, or other media may be artificially generated or digitally modified for illustrative or storytelling purposes.
Smart Rack Cards™ may correct, revise, replace, or remove AI-generated content at any time.
Use of the Platform is also subject to our Disclaimer and AI Disclosure, as updated from time to time.
Smart Rack Cards™ may provide QR codes, window decals, countertop displays, posters, signs, printed materials, or other items that provide access to Digital Tourist Kiosks™, Smart Rack Cards™, or other Platform pages.
QR codes and decals supplied by Smart Rack Cards™ are intended to direct visitors to authorized Smart Rack Cards™ services.
A recipient of a QR decal or other physical material does not acquire ownership of the Smart Rack Cards™, Digital Tourist Kiosk™, Digital Visitor Center Network™, or related intellectual property.
Users must not knowingly counterfeit, alter, obscure, replace, redirect, reproduce for deceptive purposes, or tamper with an official Smart Rack Cards™ QR code or decal.
Smart Rack Cards™ is not responsible for unauthorized stickers, replacement QR codes, physical tampering, vandalism, or other alterations carried out by third parties without our knowledge.
We may update the destination or functionality associated with an official QR code when reasonably necessary to maintain, improve, reorganize, or protect the Platform.
You may not use the Platform to:
(a) engage in unlawful, fraudulent, deceptive, defamatory, threatening, or abusive conduct;
(b) impersonate another person, business, organization, Visitor Centre, Chamber of Commerce, or government entity;
(c) submit content you do not have the right to use;
(d) distribute malware, malicious code, viruses, or harmful technology;
(e) attempt to gain unauthorized access to accounts, servers, databases, or other systems;
(f) interfere with or disrupt the security or operation of the Platform;
(g) scrape, harvest, systematically copy, or extract Platform content or data using automated means except with our written permission or as permitted by applicable law;
(h) reverse engineer, decompile, circumvent, or attempt to discover the underlying source code or security mechanisms of proprietary Platform software except where such restriction is prohibited by law;
(i) remove copyright, trademark, attribution, or proprietary notices;
(j) use Smart Rack Cards™ trademarks, designs, QR codes, or materials in a way that falsely implies sponsorship, affiliation, or endorsement; or
(k) use the Platform in a manner that could reasonably damage Smart Rack Cards™, another user, a listed business, or the integrity of the tourism information being provided.
We may investigate suspected violations and take appropriate action.
Except for User Content and third-party materials, the Platform and its original content, software, design, layout, databases, branding, functionality, graphics, and other proprietary materials are owned by or licensed to ESi Digital Marketing Inc.
Without limiting other rights, names and marks associated with the Platform may include:

Digital Tourist Kiosks™
Digital Visitor Center Network™
Destination Deals™
Action Taps™
Destination Discovery™
The Visitor Center That Never Closes™
and other trademarks, service marks, slogans, designs, or branding used by ESi Digital Marketing Inc.
Nothing in these Terms transfers ownership of Smart Rack Cards™ intellectual property to a user.
You may use Platform materials only as permitted through normal use of the service or with our written permission.
Smart Rack Cards™ respects intellectual property rights.
If you believe content appearing on the Platform infringes your copyright, trademark, or other intellectual property right, contact us at admin@smartrackcards.com and provide enough information for us to identify and investigate the material, including:
the work or right allegedly infringed, the location of the disputed material, your contact information, the basis of your claim, and evidence that you are the owner or authorized representative where appropriate.
We may remove or restrict access to disputed content while investigating a complaint.
Our handling of personal information is governed by our Privacy Policy and applicable privacy law.
By using the Platform, you acknowledge that information may be collected and processed as described in our Privacy Policy.
Business Users are responsible for ensuring that personal information they submit to Smart Rack Cards™ may lawfully be provided and used for the intended purpose.
The current Privacy Policy is available through SmartRackCards.com.
By creating an account, subscribing to a service, or conducting business electronically with Smart Rack Cards™, you consent to receiving transactional communications electronically, including receipts, account notices, renewal notices, security messages, service announcements, and other communications relating to your account.
Marketing communications are subject to applicable consent requirements and may be unsubscribed from using the method provided in the communication.
You are responsible for maintaining a current email address on your account.
Smart Rack Cards™ may provide information concerning views, visits, QR scans, clicks, Action Taps™, traffic, inquiries, or other engagement.
Analytics may be generated using Smart Rack Cards™ technology or third-party services and may be affected by matters such as browsers, privacy settings, automated traffic, filtering, software updates, network conditions, and third-party systems.
Analytics should therefore be regarded as informational rather than a guaranteed accounting record unless expressly stated otherwise.
Smart Rack Cards™ does not guarantee any minimum number of:
website visitors;
QR scans;
Smart Rack Card™ views;
telephone calls;
website clicks;
reservations;
customers;
sales;
leads;
conversions;
revenue; or
return on investment.
Advertising or participation in Smart Rack Cards™ does not guarantee business results.
Placement and visibility within a Digital Tourist Kiosk™, search result, category, map, recommendation, newsletter, Destination Discovery™, or other Platform feature may depend on the applicable plan, sponsorship arrangements, category, location, relevance, Platform design, rotation, availability, or other factors.
Unless specifically guaranteed in a written agreement, purchasing a subscription does not guarantee a particular search position, display position, number of impressions, category ranking, or amount of visitor exposure.
We work to maintain reliable access to the Platform but do not guarantee uninterrupted or error-free operation.
The Platform may occasionally be unavailable because of maintenance, software updates, hosting issues, third-party failures, cybersecurity events, internet failures, force majeure events, or circumstances outside our reasonable control.
We may update, redesign, add, remove, replace, or modify Platform functions as the service evolves.
For a prepaid subscription, we will not intentionally remove the core paid service during the existing paid term without reasonable cause. However, individual features may be replaced or modified where reasonably necessary for security, legal compliance, technical compatibility, product improvement, or continued operation.
Smart Rack Cards™ may suspend, restrict, or terminate an account, Listing, Destination Deal™, sponsorship, or other service where we reasonably believe that:
(a) fees have not been paid when due;
(b) these Terms have been materially violated;
(c) content infringes third-party rights;
(d) a Listing contains fraudulent, illegal, deceptive, or materially misleading information;
(e) the account is being used for spam, malware, security attacks, impersonation, or abuse;
(f) continued operation creates a legal, security, reputational, or technical risk;
(g) we are required to do so by law or lawful authority; or
(h) the Business User requests termination.
Where reasonably practicable, we may provide notice and an opportunity to correct a problem before terminating a paid account. Immediate action may be taken where we reasonably believe there is fraud, unlawful activity, security risk, infringement, abuse, or potential harm to users or third parties.
Except where required by law or expressly agreed otherwise, termination for a Business User's material breach does not entitle that Business User to a refund of fees already paid.
Sections that by their nature should continue after termination—including intellectual property, payment obligations already incurred, disclaimers, limitations of liability, indemnification, and governing law—will survive termination.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
SMART RACK CARDS™ MAKES NO GUARANTEE THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM INACCURACIES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESI DIGITAL MARKETING INC. DISCLAIMS WARRANTIES OR CONDITIONS THAT MAY OTHERWISE BE IMPLIED, INCLUDING WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, AND PERFORMANCE.
We do not warrant the products, services, safety, availability, claims, conduct, prices, offers, accommodations, restaurants, attractions, destinations, transportation, or other activities of third-party businesses appearing on the Platform.
Nothing in these Terms excludes a warranty, condition, remedy, or statutory right that cannot legally be excluded.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ESI DIGITAL MARKETING INC., SMART RACK CARDS™, AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, REPRESENTATIVES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITY, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR LOST ANTICIPATED SAVINGS ARISING FROM OR RELATING TO THE PLATFORM.
This limitation includes claims arising from:
use or inability to use the Platform;
inaccurate business or destination information;
AI-generated content;
Destination Deals™;
third-party websites or Action Taps™;
QR code tampering;
service interruptions;
decisions made based upon Platform information; or
transactions between visitors and listed businesses.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF ESI DIGITAL MARKETING INC. ARISING FROM OR RELATING TO A PAID BUSINESS USER'S SERVICE WILL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY THAT BUSINESS USER TO SMART RACK CARDS™ DURING THE TWELVE MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
For claims by a user who has paid no fees to Smart Rack Cards™, aggregate liability will not exceed CAD $100, to the extent such limitation is permitted by applicable law.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
To the maximum extent permitted by law, a Business User or Sponsor agrees to defend, indemnify, and hold harmless ESi Digital Marketing Inc., Smart Rack Cards™, and their directors, officers, employees, contractors, and representatives from third-party claims, losses, liabilities, damages, judgments, and reasonable legal costs arising from:
(a) User Content supplied or authorized by that Business User;
(b) infringement or alleged infringement caused by materials supplied by that Business User;
(c) false, misleading, unlawful, or inaccurate advertising or promotions supplied by that Business User;
(d) a Destination Deal™ or other offer made by that Business User;
(e) products or services provided by that Business User;
(f) the Business User's violation of applicable law; or
(g) the Business User's material breach of these Terms.
This indemnity does not apply to the extent a claim was caused by the wrongful conduct of ESi Digital Marketing Inc.
Smart Rack Cards™ will not be responsible for a failure or delay caused by circumstances reasonably beyond our control, including natural disasters, wildfire, flood, severe weather, epidemic, pandemic, war, terrorism, civil disturbance, labour disruption, internet failure, telecommunications failure, electrical outage, cyberattack, hosting-provider failure, government action, or failure of an essential third-party technology provider.
We will make reasonable efforts to resume affected services when practicable.
Smart Rack Cards™ may update these Terms to reflect changes in our services, technology, pricing structure, business practices, security requirements, or legal obligations.
The revised Terms will display an updated "Last Updated" date.
Material changes will apply prospectively.
Where applicable law requires advance notice of a change to an existing subscription contract, we will provide the required notice before the change takes effect.
Where applicable law restricts our ability to unilaterally change cancellation, return, exchange, refund, renewal, or other contractual rights, these Terms will be interpreted consistently with those requirements.
Continued use of the Platform after revised Terms take effect constitutes acceptance of the revised Terms, except where applicable law requires another form of consent.
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable in British Columbia, without regard to conflict-of-law principles.
Subject to any non-waivable rights provided by applicable law, disputes arising from these Terms or the Platform will be subject to the jurisdiction of the courts of British Columbia, Canada.
Nothing in this section deprives a consumer of mandatory rights or protections that applicable law does not permit the consumer to waive.
You agree that contracts, transactions, notices, disclosures, and other communications relating to Smart Rack Cards™ may be completed electronically.
Clicking a button or checkbox indicating agreement, completing a purchase, creating an account, claiming a Listing, or otherwise electronically accepting these Terms may constitute an electronic acceptance having the same effect as a handwritten signature to the extent permitted by law.
We may maintain electronic records of acceptance, purchase information, subscription dates, Terms versions, and related transactions.
These Terms, together with any applicable Privacy Policy, Disclaimer and AI Disclosure, checkout terms, order form, proposal, sponsorship agreement, or other written agreement expressly incorporated into a transaction, form the agreement applicable to use of the Platform.
If there is a direct conflict concerning a specific purchased service, the following order will generally apply:
first, a separately signed written agreement or sponsorship agreement;
second, the applicable checkout or order form;
third, these Terms;
and fourth, general website descriptions or promotional materials.
Nothing in this section overrides rights that cannot legally be waived.
If any provision of these Terms is found invalid, illegal, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect.
Failure by Smart Rack Cards™ to enforce a provision of these Terms on one occasion does not waive our right to enforce that provision or another provision in the future.
A Business User may not transfer or assign a paid account or its rights under these Terms without our consent, except as part of a bona fide sale or transfer of the applicable business and after notifying us.
ESi Digital Marketing Inc. may assign these Terms as part of a corporate reorganization, merger, sale, transfer of the Smart Rack Cards™ business, or similar transaction, subject to applicable law.
Nothing in these Terms creates an employment, partnership, franchise, fiduciary, joint venture, or agency relationship between Smart Rack Cards™ and a Business User, Sponsor, Visitor Centre, Chamber of Commerce, municipality, listed organization, or Visitor User.
Any such relationship must be expressly established by a separate written agreement.
